These Terms of Service (“Terms”) govern your access to and use of the Whispers mobile app and the website at whispers.digital (together, the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Who we are
Whispers is an invite-only events platform operated from Nigeria. It lets hosts create private events with verified guest lists, hidden locations and rotating QR tickets, and lets guests RSVP and check in securely.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement in your jurisdiction. Many events on Whispers are adults-only. By registering you confirm you meet these requirements.
3. Your account
You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. To host paid events, RSVP to paid events, or attend events that require verification, you must complete identity verification (KYC). We may suspend or terminate accounts that provide false information, abuse the Service, or pose risk to other users.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Harass, threaten, intimidate or harm other users
- Post false, misleading or fraudulent content
- Impersonate any person, business or event
- Interfere with the operation of the Service or attempt to bypass security features (including QR tokens, location reveal controls, or anti-leak protection)
- Scrape, index or re-distribute guest lists, event details or Clan Feed media
- Host events that promote illegal activity, violence, hate speech, or the exploitation of minors
- Circumvent age gating or identity verification
5. Hosting events
As a host you are solely responsible for your event, including its legality, safety, capacity, permits, venue relationship, and the conduct of your guests. You must accurately describe your event. You must comply with all applicable Nigerian laws and the laws of the jurisdiction where the event is held. Whispers is a platform — we do not plan, run or insure your event.
6. Subscription plans
Whispers offers three host plans: Free, Elite, and Exclusive. Paid plans are billed monthly or yearly at the rates shown in-app and on the pricing page. By purchasing a subscription you authorise Whispers, through its payment processor Stripe, to charge your selected payment method on a recurring basis until you cancel.
You can cancel a subscription at any time from the Subscription screen in the app. Your plan benefits continue until the end of the current billing period. Cancellations do not trigger pro-rated refunds.
7. Paid events and platform fees
Hosts may charge guests to attend events. Whispers collects payments on the host’s behalf as merchant of record and deducts a tiered platform fee:
- Ticket price ₦1,000 – ₦9,999 — 10% platform fee
- Ticket price ₦10,000 – ₦49,999 — 8% platform fee
- Ticket price ₦50,000 and above — 5% platform fee
The host’s net amount is credited to a pending balance. Funds move from pending to available 48 hours after the event completes. Hosts may request payouts to a verified Nigerian bank account once their available balance is at least ₦20,000. Payouts are subject to review for fraud and compliance.
8. Refunds and cancellations
If a host cancels an event, Whispers issues a full refund to every paid guest. If a guest does not attend an event they paid for, no refund is owed. Refunds for partial issues (force majeure, unsafe conditions, etc.) are at Whispers’ reasonable discretion. All refunds are made to the original payment method and may take up to 10 business days to appear on your statement.

9. User content
You retain ownership of any content you upload (event photos, Clan Feed posts, host journals, profile media). You grant Whispers a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt and display your content solely for the purpose of operating and improving the Service. This licence ends when you delete your content or your account, except where retention is required by law.
You represent that your content does not violate anyone else’s rights and does not contain unlawful material. We may remove content that breaches these Terms.
10. Clan Feed and media privacy
Clan Feed media is accessible only to verified guests of the specific event and only for 72 hours after the event ends. Screenshots and screen recordings are discouraged and may be detected. Sharing Clan Feed media outside the app without the host’s permission is a breach of these Terms.
11. Rotating QR tickets and check-in
Guest QR tickets refresh every 30 seconds. Tickets are bound to your identity-verified account. Sharing or reselling tickets is prohibited and tickets shared to another device will not check in.
12. Intellectual property
The Service, the Whispers name, logo, liquid glass design system and all related materials are owned by Whispers. You may not copy, modify, resell, reverse-engineer or create derivative works from the Service without written permission.
13. Third-party services
Whispers uses Stripe for payments, Google Cloud / Firebase for hosting and messaging, and Apple / Google platforms for app distribution. Your use of those services is governed by their own terms. Whispers is not responsible for third-party outages.
14. Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure or error-free. Whispers is not responsible for the conduct of users or the safety of events. Nothing in these Terms limits any liability that cannot be limited under applicable law.
15. Limitation of liability
To the maximum extent permitted by law, Whispers’ total liability to you for any claim arising out of the Service is limited to the amount you paid to Whispers (excluding ticket face value) in the 12 months before the claim. We are not liable for indirect, consequential, incidental or special damages.
16. Indemnity
You agree to indemnify and hold Whispers harmless from any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or any event you host.
17. Termination
You may stop using the Service at any time and delete your account from the app. We may suspend or terminate your access if you breach these Terms or for reasonable cause. Sections that by their nature should survive termination (payments, intellectual property, disclaimers, indemnity, limitation of liability, governing law) will survive.
18. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will be resolved in good faith first through the feedback channel, and failing that by the courts of Lagos State, Nigeria, unless a mandatory law in your jurisdiction provides otherwise.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in-app and via email at least seven days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
